REWARDS PROGRAM TERMS AND CONDITIONS

Welcome to the Rack Room Shoes, Inc. (“Rack Room Shoes”) Rewards Program (the “Rewards Program”), a loyalty program through which customers receive personalized offers, can earn points, and later redeem them for offers, products, and much more (“Rewards”). Membership in the Rewards Program is free of charge. By becoming a Member of the Rewards Program (“Membership”), Members agree to receive advertising, promotional materials, and other communications from Rack Room Shoes except where expressly opted out of such communications in the customer's profile preferences. State fees and taxes may apply where required by law.

Program Eligibility

You must be a United States resident who is at least 13 years of age to participate in the Rewards Program. The Rewards Program is intended for personal or family household use only. Membership and/or use of the Rewards Program for commercial purposes, including without limitation, for the resale of Rack Room Shoes merchandise, by commercial customers, companies, organizations or individuals is strictly prohibited. Current Rack Room Shoes employees are not eligible to participate in the Rewards Program.

Privacy Policy

Please review our Privacy Policy , which governs your visit to and use of the www.RackRoomShoes.com website. Our Privacy Policy explains how we collect, use, and share your personal information. By participating in the Rewards Program, you are confirming that you understand and agree to how we collect, use, and share your personal information.

Reward Program Description

The Rack Room Shoes Rewards Program is a free customer loyalty program that allows participants to earn "Rewards" with qualifying purchases. Participants in the Rewards Program may redeem accumulated Points that can be used toward purchasing merchandise on RackRoomShoes.com and in Rack Room Shoes and Off Broadway Shoe Warehouse stores. Rack Room Shoes reserves the right to make Rewards and promotional offers available to select Members based on purchase activity, geographic location, Rewards Program participation or information supplied by the Member.

Reward Program Membership

Enrollment

By registering for the Rewards Program, you agree to be bound by these Terms and Conditions, the Privacy Policy and website Terms and Conditions. Customers may enroll in the Rewards Program either online or at participating retail stores. You may not register if you do not agree to be bound by the Rewards Program Terms and Conditions or if you do not meet the eligibility requirements. Rack Room Shoes reserves the right to decline to allow you to participate in the Rewards Program at any time and in its sole discretion if it has cause to believe you do not meet the eligibility requirements or if your participation would violate these Terms and Conditions, any restrictions or limitations Rack Room Shoes places on purchases, orders, offers or the terms and conditions of any other offers, programs or promotions offered by Rack Room Shoes.

Registration

Registration in the Reward Program can be done either online or at a Rack Room retail store by providing a valid email address. Membership in the Rewards Program becomes effective upon registration and acceptance of these Terms and Conditions. You may deactivate your Account at any time by calling Customer Service at 1(800) 306-9309 or by sending an email via https://www.rackroomshoes.com/contact-us. If you deactivate your Account, or if it is deactivated or terminated for any reason, any Points which remain in such Account will be forfeited.

Rewards Program ID

When you register, you'll create a Rewards Program account (your “Account”), email will serve as your Rewards ID. You can use your Account to track your participation in the Rewards Program and redeem your Points for Rewards. If at any time you believe your Account has been compromised, please contact us immediately by calling Customer Service at 1(800) 306-9309 or email via https://www.rackroomshoes.com/contact-us. As a Rewards Program Member, you are responsible for ensuring that your information is current and accurate by updating such information as necessary in your account settings.

Reward Restrictions

There is a limit of one Account per person, which will be registered to one email address. Accounts may only be used by individuals - they cannot be used by companies, groups, or organizations - and they cannot be shared or transferred. Rewards Program accounts are only for personal and non-commercial use. Customers purchasing items for resale are not eligible for membership. Bulk sales for commercial purposes or resale will not be credited to your Rewards Program account. If you purchase items for resale, Rack Room Shoes reserves the right not to award Points and to deduct improperly awarded Points. Rack Room Shoes reserves the right to prohibit anyone we believe is associated with resale activity from enrolling in the Rewards Program. Should Rack Room reasonably suspect a Rewards Program Member or Account of fraud, misrepresentation, abuse or being in violation of these Terms and Conditions, Rack Room Shoes reserves the right to immediately deactivate or terminate the Account in question, including forfeiture of all accumulated points, without notice. Rack Room Shoes has the sole discretion over whether to deem a purchase as a “purchase for resale”. Rewards may be subject to additional terms and conditions and limitations, including, for example, a limit to the number of a particular Reward a member can acquire, combining Rewards, or a time limit for accessing and using a Reward. These additional terms and conditions and limitations will be disclosed in connection with such Reward and are subject to change in Rack Room Shoes sole discretion at any time without notice.

Cancellation or Modification

Subject to applicable law, Rack Room Shoes may, at its sole discretion, terminate, deactivate, alter, modify, limit or suspend the Rewards Program, including these Terms and Conditions, in whole or in part, without notice or cause, even though such changes may affect the ability to earn or redeem Points or affect the value of Points already accumulated. Rack Room Shoes shall have no liability or obligations to Members for any such cancellation or changes to the Rewards Program, including without limitation transferring, sharing, or converting Points or Rewards and membership data to other reward programs operated by Rack Room Shoes or its parent or affiliate companies. If there is no Rewards Account activity or Points from any source posted to a Member's Account for two consecutive years (24 months), the Account is subject to closure and termination, including forfeiture of all accrued Points.

Earning and Redeeming Rewards Points

As a Member of the Rewards Program, Members earn Points for every dollar spent on any merchandise at RackRoomShoes.com or any Rack Room Shoes or Off Broadway Shoe Warehouse located in the United States. Points will typically be deposited to your Account within approximately three (3) business days from the day you earned them, the day you completed an in-store purchase, or the day your transaction's order shipped (online or in-store), but it can take up to thirty (30) days. You can log in to your Account at any time to see how many Points you have. You are responsible for ensuring that the Points balance in your Account is correct. You may not attempt to earn Points in a manner that is not expressly permitted in these Terms and Conditions, such as through the use of a script, bot, or other automated means. Taxes, gift cards and other miscellaneous fees are excluded from merchandise and do not count towards the amount of spend used to calculate Points.

Earning Points

• Members receive one (1) Point per dollar spent on Eligible Product Purchases at Rack Room Shoes and Off Broadway Shoe Warehouse Stores or online at www.RackRoomShoes.com.
• Points go towards earning Rewards.
• Points expire 365 days from the date earned.
• 200 Points will automatically become a $15 Reward.
• $15 Rewards are good for 90 days from issuance and can be combined with each other and other offers.
• Additional Rewards given out are at the discretion of the Rewards Program and have their own individual terms included in them and do not have point values.
  • Birthday Reward - $10 Reward given on the first of birth month. Valid for 30 days. Limit 1 per calendar year.
• Bonus Points may be available (from time to time) and are earned during certain Rack Room Shoes promotions or offers and run for select timeframes communicated with the advertising for the specific promo.
  • Power Reviews - each verified power review earns 25 Bonus Points.
  • Buy Online, Pick Up In Store (“BOPIS”) orders - each completed BOPIS order earns 25 Bonus Points.
• Points cannot be earned on purchases made prior to enrollment or on purchases of gift cards.
• Points earned are for promotional purposes only, have no cash value, and do not constitute your property of any kind. You cannot sell, barter, or transfer your Points or combine them with another member's points.

Returns

If you return merchandise that you purchased using your Rewards benefit, you will be refunded the amount you paid in the purchase excluding the value of the Reward that was applied to your purchase. Reward's benefits are for one-time use only. You will not receive a replacement credit for the redeemed Reward Points back to your Membership, these points are removed during the return process. All returns are subject to and must be in accordance with the Rack Room Shoes Return Policy.

Reward Program Communications

Promotional Emails

When you sign up for the Rewards Program and provide your email address, you give consent to receive promotional emails from Rack Room Shoes. If you would no longer like to receive such promotional emails, such as e-mailed coupons, special events information, sales notifications, or other messages from Rack Room Shoes, please click and follow the “Unsubscribe” instructions in your e-mail. You will continue to receive transactional messages from us regarding the Rewards Program.

Transactional Emails

By enrolling and becoming a Member in the Rewards Program, you are consenting to receive transactional emails regarding the Rewards Program from us, including, but not limited to, the following: welcome email; recurring membership status statements and/or updates; issuance of rewards points earned; reminder of upcoming expiration of earned points; and other Rewards Program account management emails. To stop receiving these transactional emails, you must deactivate your account.

OPTING OUT OF RECEIVING E-MAILS WILL ONLY AFFECT YOUR RECEIPT OF E-MAILS. YOU MAY STILL RECEIVE MESSAGES FROM RACK ROOM SHOES VIA TEXT MESSAGE OR OTHER METHODS IF YOU HAVE GIVEN CONSENT TO BE CONTACTED IN THIS MANNER.

Applicable Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of the state of North Carolina. Any dispute, claim, or controversy arising or relating to these Terms and Conditions and the Rewards Program shall be resolved by applying North Carolina state law.

Limitation of Liability

Rack Room Shoes will not be liable for any system failure or malfunction of the Rewards Program or any consequences thereof. Rack Room Shoes will not be liable for any loss or damages arising from suspension, variation, termination, or in any other way relating to the Rewards Program, except for any liability which cannot be excluded by law. By participating, you agree that Rack Room Shoes, its parent, subsidiaries, affiliates, and each of their respective officers, directors, employees, and agents shall not be liable to you or any third party for: (a) any damages arising out of your participation in the Rewards Program except to the extent caused by Rack Room Shoes' intentional misconduct, recklessness, or gross negligence, and (b) any indirect, special, punitive, exemplary, aggravated, incidental or consequential losses or damages, including lost profits, regardless of whether such damages were foreseeable and regardless of whether we were advised of the possibility of such losses or damages. These limitations shall apply to all claims and theories of liability to the fullest extent allowed by applicable law.

Severability

If any provision of these Terms and Conditions or the application of any such provision to any person or circumstance is held invalid, illegal, or unenforceable for any reason whatsoever, the remaining provisions of these Terms and Conditions and the application of such provisions to other persons or circumstances shall not be affected. To the fullest extent possible, the court finding such provision invalid, illegal, or unenforceable shall modify and construe the provision so as to render it valid and enforceable as against all persons or entities within the bounds of validity, legality, and enforceability.

Errors or Inconsistencies

Despite our best efforts to ensure accuracy, errors occasionally occur. Rack Room Shoes reserves the right to correct such errors at any time even if it affects pending benefits, Rewards, or Points in your Account. In the event of any inconsistency or discrepancy between these Terms and Conditions or other statements contained in any related materials or advertising, the terms of the then-current Terms and Conditions shall prevail, govern, and control.

Entire Agreement

These Terms and Conditions, together with all other agreements, terms or conditions incorporated or referred to herein constitute the entire agreement between you and Rack Room Shoes in connection with the Rewards Program and supersede any prior understandings or agreements (whether electronic, oral or written) regarding the Rewards Program. The Rewards Program, including these Terms and Condition may be amended or modified, from time to time, in Rack Room Shoes sole discretion. Interpretation of these Terms and Conditions shall be at Rack Room Shoes sole discretion. Rack Room Shoes failure to exercise or enforce any right or provision of these rules shall not constitute a waiver of such right or provision.
